Terms of Service

1. Who can use the Service

You must be at least 18 years old and able to enter into a binding contract. You are responsible for keeping your password secure and for everything that happens under your account. Tell us right away at support@friendspros.com if you believe your account has been used without your permission.

2. What the Service is — and is not

FriendsPros is a place for people to share their personal recommendations of contractors and home-service companies with friends and neighbors. We do not employ, endorse, screen, verify, license, insure or guarantee any contractor listed on the Service. Recommendations are the personal opinions of other users, not our opinions or advice.

We are not a party to any agreement, estimate, payment or dispute between you and any contractor. Before hiring anyone, you are solely responsible for doing your own checks, including confirming any required licenses, insurance and permits, checking references, and getting a written contract.

3. Your content

"Your content" means the recommendations, notes, tags, contractor listings, category suggestions, reports and other information you add. You keep ownership of your content. You give us a non-exclusive, royalty-free, worldwide license to store, display, copy, adapt and share your content as needed to operate, improve and promote the Service, consistent with your privacy settings. This license ends when your content is deleted, except for copies kept in backups for a limited time or as required by law.

You agree that your content will:

• Be honest and based on your own real experience;
• Not be false, misleading, defamatory, harassing, hateful, obscene or unlawful;
• Not recommend or list a business you own, work for, or are paid or rewarded to promote, unless you clearly say so in your note;
• Not include anyone's private information beyond normal business contact details.

We do not review content before it is posted, but we may edit, merge, hide or remove any content or listing at any time, for any reason, including to correct duplicates or errors.

4. Contractor listings

The person who adds a listing (or who later claims an unmanaged listing) manages its details and must keep them accurate. Listings contain business contact information. A business that wants its listing corrected or removed can contact us at support@friendspros.com.

5. Friends and invitations

Only invite people you know. You confirm you have a reasonable basis to send an invite to each email address you enter. Do not use invitations to send spam. We may limit or turn off invitations for any account.

6. Things you may not do

• Break any law or anyone else's rights;
• Impersonate anyone or create fake accounts, recommendations or listings;
• Manipulate results, including through paid, traded or coordinated recommendations;
• Scrape, copy or collect data from the Service by automated means;
• Interfere with, overload, probe or try to get around the security of the Service;
• Use the Service to advertise or sell anything without our written permission.

7. Suspension and account deletion

We may suspend or close any account at any time if we believe these Terms were broken or to protect the Service or its users. You can delete your account at any time in Profile & Settings. When you do, your recommendations and friend connections are deleted; contractor listings you added remain on the Service so others can keep using them.

8. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY RECOMMENDATION OR LISTING IS ACCURATE, COMPLETE OR CURRENT, OR THAT ANY CONTRACTOR IS LICENSED, INSURED, QUALIFIED, SAFE OR WILL PERFORM SATISFACTORY WORK. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, [COMPANY LEGAL NAME, LLC] AND ITS OWNERS, MEMBERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR RELATED TO (A) ANY WORK, SERVICES, PRODUCTS, CONDUCT, PRICING OR DISPUTES OF ANY CONTRACTOR OR OTHER USER, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, FINANCIAL LOSS OR DEATH; (B) YOUR RELIANCE ON ANY CONTENT ON THE SERVICE; OR (C) YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50) OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Some laws do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

10. Release and indemnity

Your dealings with contractors and other users are solely between you and them. To the fullest extent permitted by law, you release us from any claims arising out of those dealings. You agree to defend, indemnify and hold harmless [Company Legal Name, LLC] and its owners, members, employees and agents from any claims, losses and costs (including reasonable attorneys' fees) arising from your content, your use of the Service, or your breach of these Terms.

11. Disputes

Please contact us first at support@friendspros.com so we can try to resolve any concern informally. These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any lawsuit related to the Service must be brought in the state or federal courts located in Broome County, New York, and you and we consent to those courts' jurisdiction, except that either party may bring a qualifying claim in small claims court. Any claim must be filed within one year after it arises, to the extent permitted by law.

12. Changes to these Terms or the Service

We may change these Terms. If a change is meaningful, we will ask you to review and accept the updated Terms before you continue using the Service. We may change, pause or discontinue any part of the Service at any time.

13. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our failure to enforce any part is not a waiver. You may not transfer these Terms; we may transfer them in connection with a merger, sale or reorganization.
